GENERAL TERMS AND CONDITIONS OF SALE AND USE (B2B) — Mijay Group

Important : The Services are exclusively intended for professionals. By accepting a Quote, placing an Order or making a payment, the Client confirms that they are acting for the needs of their professional activity.
Article 1 — Provider Identity
The Services are provided under the brand Mijay Group by Mijay Group BUSINESS LOGISTICS LIMITED, Private Company Limited by Shares incorporated in Hong Kong, with a declared share capital of 1 000 000 HKD, Business Registration Number / Unique Business Identifier 80540250 (certificate 80540250-000-06-26-3), whose headquarters are located Room 2502C, 25/F, 148 Electric Road, North Point, Hong Kong.

Article 2 — Definitions
- Customer : any company, association, legal entity, entrepreneur, independent contractor or other person acting for professional purposes who requests, orders or uses a Service.
- Provider or Mijay Group : Mijay Group BUSINESS LOGISTICS LIMITED.
- Platform : the mijaygroup.com website, its secure areas and the functions offered there.
- Services : any service described in a Quote, an Order, an Invoice, a payment page or a written confirmation of Mijay Group.
- Quotes : the commercial document specifying in particular the scope, price, currency, deliverables, estimated deadlines, exclusions and special conditions of a mission.
- Order : the quote or purchase order accepted, or the online order confirmed by the Client.
- Supplier : any manufacturer, wholesaler, workshop, seller or third-party service provider proposed or selected to meet the Client's needs.
- Carrier : any third-party company responsible for all or part of a transport, delivery, customs operation or handling.
- User : any person authorized to use a Client account or a role space on the Platform.
Article 3 — Purpose, scope and contractual documents
These General Terms and Conditions of Sale and Use, hereinafter referred to as the Terms and conditionsgovern the Services of Mijay Group, including:
- international sourcing and supplier search;
- product development, negotiation, sampling, production monitoring and quality control;
- purchase or coordination of purchase on behalf of;
- international logistics, customs clearance, groupage, warehousing, fulfillment and order preparation;
- outsourced purchasing department;
- professional support in China;
- vocational training;
- networking and support in distribution;
- use of the Platform and its digital tools.
The contract is composed, in descending order of priority:
- specific conditions, of the accepted quote or purchase order;
- of these Terms and Conditions in the version accepted by the Client;
- of the description of the Service published on the Site on the date of the Order.
In case of conflict, the higher-ranking document prevails. The Customer's terms and conditions of purchase are binding on Mijay Group only after express written acceptance.
Article 4 — Formation of the contract, electronic acceptance and proof
The contract is formed when the Client accepts a Quote or a purchase order, confirms an online Order after accepting the Terms and Conditions, or makes the payment requested by Mijay Group.
Acceptance of the Terms and Conditions is recorded with its version number, date, time, and available IP address. Re-acceptance may be required upon publication of a new version before the next Order, Quote acceptance, or payment transaction.
Electronic validations, signatures, connection logs, timestamps, digital fingerprints, payment confirmations, messages and documents stored on the Platform may be used as evidence, subject to applicable mandatory rules.
Unless otherwise specified in the quote, a commercial proposal is valid for thirty days. Any request exceeding the accepted scope requires written confirmation and may be subject to a supplementary quote.
Article 5 — General Obligations of the Parties
Mijay Group provides the Services with the care and skill reasonably expected of a professional provider, within the limits of the agreed scope. Unless a written guarantee of result is provided, Mijay Group's obligations are obligations of means.
The Client agrees in particular to:
- to provide accurate, complete and up-to-date information;
- respond and validate the steps within deadlines compatible with the project;
- check specifications, samples, visuals, quantities, addresses and documents before validation;
- to have the necessary rights to the trademarks, designs, files and content transmitted;
- check the regulatory requirements applicable to the product and the country of destination;
- pay the amounts due according to the agreed terms;
- use the Platform lawfully and maintain the confidentiality of your access.
Any delay, additional cost or impediment resulting from inaccurate information, late validation or failure on the part of the Client may lead to a revision of the schedule and price.
Article 6 — Compliance, prohibited goods and checks
The Client may not request or use the Services for counterfeiting, illicit goods, fraudulent activities, money laundering, circumventing sanctions or any infringement of the rights of a third party.
Mijay Group may request information or supporting documents concerning the Client's identity, company, the origin of funds, the products, their destination, value, composition, or use. Mijay Group may refuse or suspend a transaction presenting a reasonable legal, customs, financial, health, security, or reputational risk.
Article 7 — Sourcing, suppliers and “0 % supplier commission”
Sourcing may include, according to the quote, needs analysis, supplier research and pre-selection, price requests, document checks, negotiation, samples, production coordination, quality control and logistics preparation.
Mijay Group does not guarantee the exclusivity of a Supplier, the lowest market price, or the absolute absence of default by a third party. The information provided is based on the elements available at the time of the engagement and on the statements and documents provided by third parties.
The mention “9000027 supplier commission” This means that no commission proportional to the amount of the order placed with the Supplier is charged to the Client by Mijay Group for the relevant sourcing scope. Fixed fees, subscriptions, controls, audits, samples, logistics costs, bank charges, taxes, and third-party costs remain due when stipulated in the Quote or accepted separately.
The quote specifies whether the client contracts directly with the supplier or whether Mijay Group is involved in the payment, purchase, or coordination on behalf of the supplier. Unless otherwise stated in writing, Mijay Group is neither the manufacturer nor the seller of the goods.
Article 8 — Product development, samples, production and quality
Samples, molds, prototypes, tests, certifications, audits and sample shipments are billed separately unless expressly included in the Quote.
Approval of a sample, technical data sheet, visual, tolerance, or production order commits the Client to the approved characteristics. Any subsequent modifications may affect the price and schedule.
Quality control is only performed if specified in the quote. Unless a full inspection is agreed upon in writing, it is based on sampling and cannot exclude all hidden defects, variations in production runs, or non-conformities undetectable during inspection. Criteria and tolerances must be validated before the inspection.
Mijay Group supports Supplier claims within the limits of its mission, but does not automatically replace the manufacturer and does not guarantee the outcome of a negotiation with a third party.
Article 9 — Outsourced Purchasing Department
The outsourced purchasing department is a recurring service for managing purchases. The chosen formula, the volume of requests, the contacts, the target deadlines, the deliverables, the limits and the exclusions are defined in the offer and the accepted quote.
Unless otherwise stated, the Service price covers the services of team Mijay Group only. Goods, samples, certifications, inspections, transport, duties, taxes, insurance, packaging, bank charges, and other third-party costs are billed separately.
There is no automatic renewal or commitment period beyond what is expressly agreed upon. The terms of renewal, termination, notice period, and service end are detailed in the specific conditions. The advertised capacities are processing limits and not a guarantee of commercial results.
Article 10 — Distribution and networking
Mijay Group can collect applications, qualify companies, present brands, products, territories or opportunities and facilitate exchanges between parties.
An application does not automatically create any right to a Distributor account, opportunity, territory, exclusivity, minimum volume, or activation. All activations and introductions remain subject to review by Mijay Group. The commercial terms of a distribution operation are set out in a separate agreement.
Information relating to opportunities, prices, products, brands, contacts and shared documents is confidential and may not be used outside the authorized scope.
Article 11 — Professional support in China
Support may include travel preparation, appointment scheduling, trade shows, factory or market visits, language assistance and negotiation support.
The program, dates, cities, participants, included services, and covered expenses are defined before the mission. Tickets, visas, hotels, meals, personal transportation, entrance fees, and on-site expenses are included only if expressly mentioned.
Mijay Group does not guarantee visa issuance, the availability of a venue or supplier, or the conclusion of a contract. Any cancellation or modification is handled according to the quote, any expenses already incurred, and the terms and conditions of the relevant third parties.
Article 12 — Professional Training
Purchasing a training course grants a personal, limited, non-exclusive, and non-transferable right of access to the content and, where applicable, to the chosen session. The program, price, prerequisites, access duration, and included support are those displayed or accepted at the time of purchase.
Payment for a training course is a one-time fee, unless a separate offer specifically states a subscription. Access is activated after payment confirmation. Sharing login credentials, reproduction, recording, distribution, resale, or unauthorized provision of the content is prohibited.
After activation of digital access, no refund is due for personal reasons, subject to applicable mandatory rules. Mijay Group does not guarantee any financial, commercial, administrative, or professional results. The purchase or completion of training does not guarantee access to a Partner Agent role, which is governed by a separate path and contract.
Article 13 — Prices, taxes, currency exchange rates and third-party fees
The applicable prices are those stated in the Quote, Order, or Invoice. They indicate the currency and the items included. Unless expressly stated otherwise, they do not include the price of goods, import duties and taxes, certifications, inspections, insurance, bank charges, Supplier or Carrier fees, or any expenses incurred on behalf of the Client.
Exchange rates and conversion fees may change until payment is made. The Client is responsible for any fees charged by their bank or payment provider, unless otherwise agreed in writing.
When an external cost changes significantly before it is incurred, Mijay Group requests the Client's approval. If approval is refused, the amounts corresponding to services not performed and costs not incurred are refunded or credited.
Article 14 — Payment, full prepayment and transfer threshold
All invoices are payable in full before execution. No sourcing, purchase, production launch, firm reservation, or shipment departure will be undertaken until the due payment has been effectively received, unless otherwise agreed in writing by Mijay Group.
The available payment methods are displayed at checkout. Credit card payments are processed securely by Stripe. Bank transfers are made exclusively to the account details shown on the invoice or in the customer's secure online banking area. Mijay Group never requests payment of a Mijay invoice to the personal account of an employee, agent, sourcer, supplier, or any other third party.
The card via Stripe is only offered when the balance converted to euros is below the threshold configured on the Platform. As of the date of this update, this threshold is 2 000 EURAbove this threshold, bank transfer is the proposed payment method. The invoice number must be included as the transfer reference.
Payment is considered complete upon actual receipt of funds and reconciliation with the invoice. A bank transfer receipt does not constitute payment. In the event of a rejected payment, non-payment, suspected fraud, or bank dispute, Mijay Group may suspend the service, without prejudice to the recovery of any sums due and reasonable expenses incurred.
Article 15 — Credit available on the Customer's account
A credit top-up constitutes an advance intended for the payment of Services and Invoices available on the Platform. The credit does not accrue interest, is non-transferable, and cannot be used outside of Mijay Group.
A request for a refund of an unused balance is reviewed after verification of payments, orders, refunds, fees, and outstanding amounts. Amounts already allocated to an order or incurred cost are no longer considered available.
Article 16 — Modification, cancellation and refund
Any request for modification or cancellation must be made in writing from the Platform or through the indicated contractual channel.
Before the start of a Service, any amounts not corresponding to work performed, a purchase, a reservation, a firm commitment, or a third-party cost are refunded or credited. After the start of the Service, the following remain due:
- services already performed;
- goods, samples and expenses incurred;
- non-refundable reservations or transport;
- reasonable costs directly caused by the modification or cancellation.
If Mijay Group cancels a service through no fault of the Client and without providing the corresponding portion of the Service, the amounts relating to the unperformed portion will be refunded or credited according to the agreement of the parties. The specific terms and conditions of the Carrier, Supplier, or third-party service provider may apply to costs already incurred.
Article 17 — Logistics, Customs and Incoterms
Logistics services may include air, sea, rail or road freight, express, groupage, door-to-door, customs clearance, warehousing and fulfillment.
Any price quoted before final measurement is an estimate. The invoice may be adjusted according to the actual or volumetric weight, volume, nature of the goods, destination, mode of transport, inspections, surcharges, port or airport charges and customs requirements.
Shipping, transit, and customs clearance times are estimates unless specifically guaranteed in writing. The DDP or DAP regime, the inclusion of duties and taxes, the identity of the official importer, and any Incoterm terms apply only if expressly stated in the Quotation. Otherwise, the Client is responsible for all import obligations, duties, taxes, and formalities.
The Customer must accurately declare the nature, value, quantity, origin, composition, and classification of the goods, as well as the presence of batteries, liquids, magnets, powders, chemicals, foodstuffs, or regulated goods. Any inaccurate information may result in refusal, additional charges, delays, seizure, or destruction at the Customer's expense and risk, without excluding any fault directly attributable to [9000004].
Article 18 — Transport, insurance, transfer of risk and claims
Mijay Group may act as coordinator or intermediary and entrust the physical execution to third-party carriers and service providers. Its exact role, Incoterm and the point of transfer of risk are determined by the quotation, the transport document and the applicable mandatory rules.
Shipping insurance is included only when specified in the quote. The customer must request the desired coverage before shipment and declare an accurate value. Without specific insurance, the limitations of international conventions, regulations, and the carrier's terms and conditions may apply.
Upon delivery, the Customer or the recipient must immediately check the condition and number of packages, make specific reservations with the Carrier and inform Mijay Group within the applicable time frame with photos, videos, references and relevant documents.
The delivery can be documented on the Platform by a photo or signature, the recipient's name, the date, and, where available, a GPS location. This evidence constitutes proof of delivery, without precluding either party from providing admissible evidence to the contrary.
Mijay Group is not responsible for damage attributable to insufficient packaging provided by the Customer or Supplier, prohibited or misdeclared goods, an incorrect address, an inherent defect in the product or an authority decision, except for fault directly attributable to Mijay Group.
Article 19 — Storage and fulfillment
The volumes included, the possible free period, the costs of storage, handling, preparation, protection, packaging, return and extended storage are those of the Quote or the accepted price list.
The Client provides reliable instructions regarding product references, quantities, packaging, recipients, and sales channels. Stock levels displayed on the Platform are based on recorded transactions; a physical verification may be carried out in case of discrepancies.
In the event of non-payment or prolonged lack of instructions, Mijay Group may suspend operations and request the Client to collect or ship their goods. Any action relating to unclaimed goods will be preceded by a formal notice and implemented in accordance with applicable law.
Article 20 — Accounts, Roles and Access to the Platform
The Client is responsible for its Users, the confidentiality of their credentials and the actions carried out from their account until unauthorized use is reported, except in the case of failure attributable to Mijay Group.
Access rights depend on the assigned role. A user must not attempt to access a third party's data, projects, documents, prices, margins, or conversations. Mijay Group may suspend an account in cases of fraud, non-payment, circumvention, security breaches, or abusive behavior.
Partner Agents, Sourcers, Suppliers, and Distributors may be subject to separate contracts, access rules, or agreements. These General Terms and Conditions do not replace the Partner Agent contract or any specific distribution agreement.
The Platform may be interrupted for maintenance, security, or correction. No availability rate is guaranteed without a separate written commitment.
Article 21 — AI Assistant and Automated Tools
The responses, translations, summaries, estimates, and drafts produced by the AI assistant or an automated tool are provided as a work aid. They do not constitute Supplier validation, nor a commercial, legal, tax, customs, or regulatory commitment from Mijay Group.
Prices, quantities, references, translations, risks, and decisions must be verified and validated by an authorized person before any action is taken. The assistant cannot accept a quote, confirm a payment, approve a supplier, or enter into a contract on behalf of the client.
The Client must not transmit to the public AI service any secrets, complete banking details, passwords or unnecessary sensitive data.
Article 22 — Messaging, Privacy and Intellectual Property
Project messages and documents must remain within the authorized channels. Each party protects the commercial, technical, financial, and strategic information received from the other and uses it only for the performance of the contract. This obligation does not cover public information, information that is already legitimately known, or information whose disclosure is required by law.
The Site, the Platform, training materials, methods, texts, visuals, videos, databases, tools, and documents created by Mijay Group remain protected. The Client receives only the usage rights necessary for the project. The Client's own elements remain their property, subject to third-party rights.
Article 23 — Non-circumvention and professional contacts
When an Agent, Supplier, Sourcer, Carrier, Distributor, brand or prospect is presented in connection with a project Mijay Group, the Client must not use the contact details or information obtained to fraudulently circumvent the mission, the confidentiality rules or the sums contractually owed.
Direct exchanges necessary for the project remain possible when authorized by Mijay Group or stipulated in the Estimate. In the event of a proven workaround, Mijay Group may suspend access and claim compensation for its direct and proven damages, without automatic disproportionate penalties.
Article 24 — Personal Data
Data processing related to accounts, requests, orders, payments, deliveries, applications and training is described in the Data Protection Policy published on the Site.
The Client who transmits data concerning its employees, customers, Suppliers, prospects or recipients guarantees that it is authorized to do so and informs them when required by law.
Article 25 — Suspension and termination
Mijay Group may suspend all or part of a Service or access in the event of non-payment, risk of fraud, security incident, unlawful request, essential missing information, serious breach of the Terms and Conditions or necessity imposed by an authority.
When the situation can be rectified, [9000004] will inform the Client of the reason and the necessary measures. Suspension does not release the Client from the sums owed for services rendered and costs incurred.
Either party may terminate an engagement for serious breach that remains unremedied within a reasonable timeframe after formal notice, without prejudice to any rights already acquired or non-refundable fees. The specific terms of a subscription or recurring engagement shall apply to the notice period.
Article 26 — Liability
Each party is liable for direct damages caused by its proven faults. To the extent permitted by law, Mijay Group is not liable for indirect losses such as loss of revenue, margin, customers, opportunity, data or reputation, nor for the acts of a Supplier, Carrier, authority or third party that it does not control, except in cases of fault directly attributable to Mijay Group.
Within the limits permitted by applicable law and subject to the reasonableness of the limitation, the total liability of Mijay Group for a mission is limited to the amount excluding tax actually paid to Mijay Group for the Service which caused the damage during the twelve months preceding the event giving rise to the damage, excluding the price of goods and third-party costs merely advanced or paid back.
This limitation does not apply in cases of fraud, intentional misconduct, gross negligence, death or bodily harm, nor where a limitation is prohibited by law.
The Client guarantees Mijay Group against the consequences of illicit, dangerous, counterfeit, misdeclared or non-compliant products in the country of destination when these consequences result from its information, choices or instructions.
Article 27 — Force majeure
No party shall be liable for any delay or failure to perform caused by any event reasonably beyond its control, including but not limited to natural disaster, epidemic, war, embargo, administrative closure, external strike, major breakdown, large-scale cyberattack, exceptional congestion, transportation disruption, or customs decision.
The affected party shall inform the other party as soon as possible. The obligations affected shall be suspended during the impediment. If the impediment is prolonged, the parties shall seek a reasonable solution and may terminate the unperformed portion of the agreement, subject to payment of any services and costs already incurred.
Article 28 — Claims and amicable settlement
All claims must be submitted through the project or channel indicated on the quote, including the file reference and supporting documentation. For goods or transport, the Client must also comply with the reservation and declaration deadlines imposed by the carrier, the insurance company, or applicable law.
The parties shall attempt to resolve the dispute in good faith within a period of thirty days from receipt of a sufficiently documented claim, unless there is an emergency or a shorter legal time limit.
Article 29 — Applicable Law and Jurisdiction
The general terms and conditions and contracts concluded with Mijay Group are governed by the law of Hong Kong.
In the absence of an amicable agreement, the competent courts of Hong Kong shall have exclusive jurisdiction, unless an arbitration clause or a different jurisdiction clause is expressly provided for in the Quotation or the special conditions, and subject to any applicable mandatory rule.
Article 30 — Version, language and final provisions
The applicable version is the one accepted at the time of the Order. A subsequent update does not modify an Order already concluded, unless agreed upon by the parties or required by law. The French version is authoritative; translations are provided for informational purposes only.
If any clause is declared null and void or unenforceable, the others shall remain in full force and effect. Failure to exercise a right immediately shall not constitute a waiver. The Client may not assign the contract without the prior written consent of [9000004]. [9000004] may assign the contract as part of a reorganization, provided that it informs the Client and preserves its essential rights.
